Most states restrict who may own a medical practice. A non-licensed owner who bills for medical services through the wrong entity is exposed on three fronts at once: corporate practice of medicine, insurance coverage and payment processing. MedGrid resolves all three in one build.
The Compliant Structure Behind Your Med Spa and Wellness Clinic
MedGrid is a management services organization built for med spas, IV lounges, hormone and weight-loss clinics, and wellness practices. We stand up the legal and operational structure a medical practice is required to have, and then we run the parts of it that have nothing to do with patient care. The clinical practice stays a licensed medical entity. The business stays yours. MedGrid sits between them as the management company, holding the administrative work under a management services agreement so that ownership, control and clinical decision-making land exactly where the law says they must.
Four Things Sit at the Center of What MedGrid Delivers
Every one of them is built legal-and-compliance first, not because it is good practice, but because it is the law.
Medical Director Oversight
A verified medical director licensed in your state, connected to your clinic and contracted properly: your main person for chart signing and prescription management, with scope of oversight, standing orders and good-faith exam protocol documented.
Collaborating Physician
For nurse practitioners and PAs in states that require a collaborating or supervising physician, we connect you with that physician and document the collaboration agreement, chart review cadence and the prescribing authority your license actually depends on.
Business Consulting and Marketing
Offer and pricing strategy, patient acquisition and marketing review, built so growth campaigns stay inside advertising, scope-of-practice and platform rules instead of creating exposure later. Growth that survives an audit.
Full Legal Structure
The professional entity and the management company formed, joined by a management services agreement, with operating agreements and transfer and succession documents where the state requires them, plus EIN, registered agent and state filings.
We Focus 100% on Legal and Compliance. Because It's the Law.
Medical aesthetics is regulated medicine. Corporate practice of medicine rules, delegation and supervision requirements, good-faith exam standards, HIPAA and advertising law all apply to a med spa the same way they apply to a hospital, and enforcement lands on the owner. MedGrid is not a growth agency that added compliance on the side. Compliance is the product; everything else we do is built on top of it.
The Structure Is the Foundation
Once the structure is standing, MedGrid keeps the rest of the back office running so the clinic can sell treatments instead of managing vendors.

The Same Intake, Structured to the State You Operate In
Corporate practice of medicine rules decide how your clinic has to be built. We run the same intake either way, then structure to the state you operate in, and re-structure when you cross a border.
| CPOM State | Non-CPOM State | |
|---|---|---|
| Who Owns the Practice | A licensed physician or professional entity holds the medical practice | The owner may hold the clinical entity directly, subject to state scope rules |
| Structure We Build | Two entities: professional entity plus MSO, joined by a management services agreement | Single or dual entity, depending on financing, multi-site plans and exit intent |
| Medical Director Role | Owner of record and clinical authority; chart signing, prescribing and delegation documented in detail | Oversight physician for chart signing, prescriptions, protocols and good-faith exams |
| Where Owners Get Caught | Fee splitting, revenue-share director pay, patient funds in the management company's account | Scope of practice, thin protocols, uninsured delegation, expansion into a CPOM state |
Money Moves in One Direction, and Every Payment Is Fixed in Advance
Patient revenue is earned and received by the professional entity (the PC). The PC covers clinician compensation, malpractice and clinical supplies first, then transfers a fixed, fair-market amount to the management company (the LLC) on the schedule set in the management services agreement. The LLC pays MedGrid a fixed monthly retainer for the administrative services it delivers. Neither amount is a percentage of collections, and no one shares in clinical revenue.
Cash pay at the point of care. No insurance claims.
A physician-owned professional corporation. Holds the bank account patient funds land in, contracts the providers, bills for care, and pays clinician compensation, malpractice and clinical supplies first.
The MSO. Holds the administrative infrastructure: technology, staffing, contracting and compliance systems.
Consulting agency to the LLC: consulting, accounting and payroll, marketing, memberships and certifications. Never clinical.
The medical director: in a corporate-practice state the PC pays the director as its own clinician, before any transfer to the LLC. In a state without a corporate-practice bar, the director may instead invoice MedGrid for non-clinical advisory time. Clinical work is always paid by the PC. See how the MSO and PC model works for both routes.
No Fee Splitting. No Revenue Sharing.
MedGrid takes no percentage of clinic revenue and no percentage of any provider's collections, and the medical director's compensation is never tied to volume, prescriptions or profit. Every payment is a fixed amount for defined work, invoiced in advance: the structure state boards and insurers expect, and the one that keeps the clinic's economics with its owner.
What Never Happens
- Patient payments deposited into the MSO account
- Management fee calculated as a share of collections
- Director paid per chart, per script, or per patient
- Referral fees moving between MedGrid and a vendor
- Clinical revenue routed around the professional entity
- Equity or profit interest granted for oversight
