Wyoming Management Services Agreement Guide: Pricing Services With a Statute That Is Silent
Wyoming's practice act has no express fee-splitting, rebate or kickback ground, and its professional corporation statute requires all stock to be owned by licensed persons, so the agreement keeps the MSO to a flat service fee.
Key Highlights
- The discipline statute has no express fee-splitting, rebate or kickback ground, which a vendor template wrongly claimed it had.
- The professional corporation statute requires capital stock to be owned exclusively by persons licensed to practice the profession.
- A Board rule treats operating or delegating operation of an FDA Class II or III device as practicing medicine unless under the direct supervision of a licensee.
- SF0107 of 2025 voids most non-competes and voids any covenant between physicians that restricts practice after termination.
How to Price the Management Fee
The discipline statute has no express fee-splitting ground, and we found no authority on percentage fees. The relevant grounds are permitting another to use one's license, aiding unlicensed practice and improper delegation. We use a fixed fee for defined services and nothing tied to referrals.
What the Practice Must Keep
Every share is held by a licensed physician, device operation happens under a licensee's direct supervision, and records are transferred within 30 days of a written request. The Board's delegation standards apply to delegation to nonphysicians.
Terms to Avoid
Avoid any stock for unlicensed persons, any unsupervised device operation and any term letting the MSO direct clinical decisions.
Term, Records and Departing Clinicians
SF0107, effective July 1, 2025 for contracts on or after that date, voids covenants not to compete restricting compensation for labor, with exceptions for sale of a business, trade secrets, a sliding-scale recovery of training and relocation expenses and executive and management personnel and the professional staff who support them, and voids any non-compete between physicians that restricts practice on termination. Whether the physician provision reaches MSO agreements is untested. We do not use non-competes for employed clinicians.
Filings, Notices and Watch Items
We found no Wyoming transaction notice law. We read the Board rule in an unofficial copy.
Drafting Checklist
- Fee: fixed for defined services.
- Stock: held only by licensed physicians.
- Devices: operated only under direct supervision.
- Records: transferred within 30 days of a written request.
- Non-competes: none for employed clinicians.
How We Draft It
Patients pay the physician-owned practice, the practice pays the management company a fixed monthly fee under the agreement, and the management company pays MedGrid a fixed monthly retainer for consulting. The management company never practices medicine, and the agreement never moves a clinical decision to it. Our template follows the same flat-fee design in every state, with the state-specific limits below layered on top.

This article is general educational information, not legal advice. Management agreement rules change and differ by state, and this summary draws on our published state guide, parts of which rest on secondary sources, so have health care counsel in the state review any agreement before you sign.
MedGrid MSO provides management services to independently owned practices; it does not practise medicine and does not direct clinical decisions. Requirements vary by state and by service, and change over time — nothing on this page is legal or medical advice. Talk to us or your own counsel before making a structural decision for your clinic.
