Key Highlights

  • New York is a strict, actively enforced corporate-practice state.
  • Medicine may only be practiced through a PC, or a PLLC with strict physician-only ownership. Lay ownership or control is prohibited.
  • MedGrid sets up a PC in New York, as in every state, so every clinic in the network runs on one governance model and one compliance playbook.
  • Because New York's operational requirements are demanding, onboarding there can take longer than the typical timeline.

What the State Allows

New York is among the strictest and most actively enforced corporate-practice states. Medicine may only be practiced through a professional corporation, or through a professional LLC whose ownership is strictly limited to physicians. Lay ownership or control of the practice is prohibited. A med spa that is not physician-owned therefore needs the two-entity structure, with a physician-owned entity that holds the license and a management company that stays on the non-clinical side.

We Set Up a PC in New York

As a rule we set up a PC in every state, and New York is no exception. We do not set up PLLCs anywhere. A PC carries the fee-splitting and clinical-control framework that corporate-practice enforcement looks for, and using the same structure everywhere keeps one compliance playbook across the network.

Where Enforcement Lands

Regulators in New York care about two things in particular. First, whether the physician owner is a genuine participant rather than a figurehead. Second, whether the management agreement is flat and at fair market value, not a share of revenue. Fee-splitting arrangements disguised as management fees are a known enforcement concern in the strictest corporate-practice states, New York among them.

Plan for a Longer Setup

New York's operational requirements are among the more demanding in the country, so standing up a compliant clinic there typically takes longer than the roughly 30-day average elsewhere. Start the entity, agreements, director connection and credentialing work early, and confirm each step with New York counsel.

Disclaimer

This article is general educational information, not legal advice. State law changes and depends on the facts of a clinic's structure, so confirm the specifics with health care regulatory counsel in the state before you rely on them.

MedGrid MSO provides management services to independently owned practices; it does not practise medicine and does not direct clinical decisions. Requirements vary by state and by service, and change over time — nothing on this page is legal or medical advice. Talk to us or your own counsel before making a structural decision for your clinic.
